Kivlehan Directories, LLC (the "Provider") owns the intellectual property rights, including copyright, or has acquired the necessary licences therein, in and to the information, including, without limitation, all text, HTML code, images, graphics, icons, Java code, and the selection and arrangement of the contents of the Site. The identification of Advertisers or any other party (collectively, a "Third Party"), and the provision of information related to it, appearing in the results achieved through the use of any tool or service provided by Provider in the Site, whether such information is contained on the Site or linked from the Site, should not be construed as a recommendation, approval or endorsement by Provider of that Third Party or its services, or that there is an affiliation or association between Provider and that Third Party or its services.
4. User, Advertiser & Third Party Transactions. All transactions or communications that take place between the User and Advertisers or any other Third Party that the User has identified through the use of this Site, including any purchase of services, take place solely between the User and that Advertiser or Third Party. Provider is not involved in any such transactions or communications whatsoever. The User understands that Provider does not verify that Advertisers and Third Parties are qualified to provide the services that they advertise on the Site. It is the User's responsibility to verify through their own independent investigation the qualifications of any lawyer or other third party identified through the Site. 7. Indemnification. Users and Advertisers are solely liable for any content they submit to the Site. Users and Advertisers agree to indemnify and hold harmless Provider from any third party claim, action, demand, loss, or damages (including attorney’s fees and costs) arising out of or relating to your violation of these Terms and Conditions, use of the Web Site or violations of any rights of a third party.
8. User's Warranties and Representations. The User hereby represents, warrants and covenants that the use of the Site by the User has not and shall not violate any applicable local, national or international law, including, without limitation, any regulations having the force of law. The User hereby covenants not to impersonate another person in the use of the Site or the sending of any email to an address listed on the Site.
9. Governing Law. The Agreement shall be governed and construed in accordance with the laws of the Commonwealth of Pennsylvania without reference to its conflicts of law. Provider, User and Advertisers specifically agree that, due to the uncertainty as to the geographic location of the provision of Internet and World Wide Web services, it is fair and reasonable to agree, and it is a material part of this Agreement upon which Provider is relying in determining to enter into this Agreement with User and Advertisers, that the sole and exclusive venue and jurisdiction for any suits, legal proceedings, or other disputes concerning this Agreement shall be in the Court of Common Pleas in Lehigh County, in Allentown, Pennsylvania.
10. Severability of Provisions. These Terms and Conditions incorporate by reference all notices and disclaimers contained on the Site and constitute the entire agreement between the User, the Advertisers and the Provider with respect to access to and use of the Site. If any provision of these Terms and Conditions is found unlawful, void or unenforceable, then that provision shall be deemed severable from the remaining provisions and shall not affect their validity and enforceability.
11. Entire Agreement. These Terms And Conditions contains the entire understanding among the parties hereto with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements and understandings, inducements or conditions, express or implied, oral or written, except as herein contained. The express terms hereof control and supersede any course of performance and/or usage of the trade inconsistent with any of the terms hereof. This Agreement may not be modified or amended other than by an agreement in writing signed by all parties hereto, or as otherwise authorized hereunder.
